Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Onubogu Sports LLC ("Onubogu Sports," "we," "us," or "our") governing your use of the RunsForAll and BrainGainz mobile applications, onubogusports.com, and related services (collectively, the "Services"). By creating an account, purchasing a subscription or service, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

Services Covered by These Terms

These Terms apply to both Onubogu Sports products, but each product has a different purpose:

  • RunsForAll is a sports-community and marketplace app for discovering, organizing, booking, and participating in runs, groups, training, leagues, teams, and related real-world activities. It includes optional Pro Host subscription features and eligible Stripe marketplace payments and payouts.

  • BrainGainz is a cognitive and mental-performance training app for athletes. It includes workouts, reaction-time and accuracy measurements, a Mental Performance Index ("MPI"), training blocks, wellness check-ins, journals, and coach- or team-assigned programs. It does not provide medical or mental-health treatment.

  • Optional connection: you may choose to link BrainGainz and RunsForAll. A verified link may allow your BrainGainz MPI, rating tier, and link status to appear in RunsForAll. Linking does not make journal entries or wellness notes public, and you may disconnect the apps using available account controls.

A term that describes a feature of only one product applies only to that product. For example, the trainer, league, booking, Pro Host, Stripe payment, and payout provisions apply to RunsForAll. The cognitive workout, MPI, journal, wellness, and coach-assignment provisions apply to BrainGainz.

1. Eligibility

You must be at least 13 years old to create an account. If you are 13–17, you represent that you have permission from a parent or legal guardian. Parents and guardians are responsible for a minor's use of the Services and participation in activities arranged through them.

You must be at least 18 to act as a trainer, paid-run host, league organizer, payment recipient, or other provider through RunsForAll. We and our payment provider may require age, identity, business, tax, bank, or eligibility verification before enabling public listings, payment collection, or payouts.

2. Accounts and Security

You must provide accurate, current information and keep it updated. You may not impersonate another person, create an account for someone else without authority, evade a suspension or ban, sell or transfer an account, or interfere with account security. You are responsible for activity under your account and for promptly notifying support@onubogusports.com of suspected unauthorized use.

Age, payment, provider, and verification badges or statuses may rely on information supplied by users or third parties. Unless a profile expressly carries a RunsForAll verification badge, do not assume we have independently background-checked, licensed, certified, or endorsed that person or organization.

BrainGainz athlete, coach, and team roles must also be accurate and authorized. You may not claim to represent a team, coach an athlete, assign training, or access athlete information without permission.

3. Community Rules and Acceptable Use

You may not:

  • harass, threaten, bully, discriminate against, exploit, or endanger another person;

  • post unlawful, fraudulent, misleading, obscene, hateful, infringing, or unsafe content;

  • create fake runs, trainers, courts, leagues, teams, bookings, ratings, reports, payments, or attendance records;

  • manipulate ratings, reputation, referrals, waitlists, fees, subscriptions, or payment outcomes;

  • scrape, sell, or misuse another person's information;

  • introduce malicious code, probe security, reverse engineer where prohibited, or disrupt the Services;

  • use the Services for gambling, illegal contests, unlawful transactions, or activities that violate venue rules or law; or

  • use the Services while under 13 or use adult provider features while under 18.

Use in-app reporting and blocking tools or email support@onubogusports.com to report safety, fraud, or content concerns. We may review content and account records, remove content, limit visibility or payments, suspend or terminate accounts, preserve relevant evidence, and cooperate with authorities where appropriate.

4. User Content

You retain ownership of content you submit. You grant Onubogu Sports a nonexclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, format, display, and distribute that content only as reasonably needed to operate, secure, improve, and promote the Services and the listing or community feature in which you submitted it. This license ends when the content is deleted, except for limited retained copies required for legal, safety, backup, dispute, or enforcement purposes.

You represent that you have the rights and permissions needed to submit the content, including photos, logos, venue details, links, team information, and information about invited participants. You are responsible for your content and interactions.

5. RunsForAll Is a Marketplace and Coordination Service

RunsForAll helps users discover and coordinate real-world sports activities and helps independent trainers, hosts, and league organizers offer services. Except where expressly stated, Onubogu Sports is not the trainer, coach, host, league operator, venue owner, employer, agent, insurer, or guarantor of a provider or participant.

Providers independently control their services, schedules, qualifications, prices, venues, and performance and are responsible for permits, insurance, licenses, taxes, safety plans, accessibility obligations, and compliance with law. Users must evaluate a provider, venue, and activity for themselves. A public website or social link is required for trainer profiles to improve transparency but is not an endorsement or background check.

6. Pro Host Subscriptions

RunsForAll Pro Host features may require an auto-renewing Apple App Store subscription. Available tiers, prices, billing periods, and features are displayed before purchase. Apple charges your Apple account, manages billing, and determines applicable taxes and App Store refunds.

Subscriptions renew automatically unless cancelled through your Apple account settings at least 24 hours before the end of the current billing period, subject to Apple's rules. You can manage or cancel at Settings → [your name] → Subscriptions on iOS. Deleting your RunsForAll account or stopping use of the App does not automatically cancel an Apple subscription. Use Restore Purchases where available to restore an eligible subscription.

Subscription access may change when Apple reports expiration, cancellation, revocation, refund, billing retry, or another entitlement change. We may change plan features or future pricing with notice required by law or platform rules; changes do not alter a paid period except as allowed by Apple.

7. Stripe Payments, Connected Accounts, and Payouts

Payments for real-world run tickets, training appointments, and league participation are processed by Stripe, not Apple. Prices are displayed in U.S. dollars unless expressly stated otherwise. Card and Apple Pay availability depends on Stripe and device eligibility.

Hosts, trainers, and organizers who collect money must complete Stripe onboarding and agree to the applicable Stripe agreements, including the Stripe Connected Account Agreement and Stripe Services Agreement. Stripe may verify identity, delay or restrict charges or payouts, hold reserves, reverse transactions, or require additional information under its rules. Payout timing is determined by Stripe and the connected account's status and schedule; RunsForAll does not guarantee a payout date.

The current RunsForAll platform fee is 5% of each paid run ticket and 0% for trainer and league payments. Stripe processing fees are separate and are deducted or charged according to the seller's Stripe configuration. Any applicable fee is disclosed before the relevant transaction. We may change fees prospectively with clear notice.

Payment recipients are responsible for taxes, refunds, chargebacks, disputes, negative balances, and lawful delivery of their services to the extent assigned by Stripe's agreements and applicable law. RunsForAll may pause bookings or listings when payment verification, cancellation billing, refunds, disputes, or outstanding charges require attention.

8. Booking and Payment Confirmation

A paid reservation is confirmed only after Stripe reports successful payment and RunsForAll confirms availability. RunsForAll may temporarily hold a run spot or appointment time during checkout. If a spot becomes unavailable before confirmation, the payment will be cancelled or refunded to the original payment method.

For group training, the booking user is responsible for the full displayed amount and for obtaining permission before adding friends. Added participants must have eligible RunsForAll accounts where required and must follow these Terms. A trainer is not required to accept unregistered or unauthorized attendees.

Waitlist placement is not a reservation or payment guarantee. Promotion from a waitlist remains subject to capacity, eligibility, price, and any required checkout.

9. Cancellation and Refund Rules

The following default rules apply unless the checkout screen clearly discloses a more protective policy required by law:

Paid run tickets

  • A player who leaves 24 hours or more before the scheduled start receives a full ticket refund.

  • A player who leaves less than 24 hours before the scheduled start is not entitled to a refund.

  • If the host or RunsForAll cancels the run, paid tickets are refunded to the original payment method.

  • A host who cancels a paid run less than 24 hours before start may be charged 15% of the paid ticket total, and paid-run access may be paused until an outstanding charge is resolved.

  • The 5% RunsForAll run-ticket fee is returned when our payment flow successfully reverses a refundable run ticket.

Trainer appointments

  • A client who cancels 24 hours or more before the appointment receives a full refund.

  • A client who cancels less than 24 hours before the appointment is not entitled to a refund.

  • If the trainer cancels, the client receives a full refund.

  • A trainer who cancels less than 24 hours before a paid appointment may be charged 15% of the appointment price, and bookings may be paused until the charge or support review is resolved.

League registration

  • A player who withdraws receives a full registration refund until seven days before the first scheduled game. After that cutoff, the registration is nonrefundable unless law requires otherwise or the organizer approves and can process an exception.

  • If the organizer cancels the league, paid registrations are refunded automatically to the original payment method.

Refund timing depends on Stripe, the card network, and the receiving bank. A refund marked initiated or pending may take additional business days to appear. Payment disputes or service complaints should be reported promptly through the App or to support@onubogusports.com. RunsForAll may review records and apply refunds, account restrictions, or other remedies where authorized, but does not guarantee a particular outcome beyond rights required by law.

10. Provider Cancellations and Payment Authorization

Paid-run hosts and trainers may be required to save a valid payment method for cancellation protection. By completing that setup, the provider authorizes RunsForAll and Stripe to charge the disclosed late-cancellation fee when the provider cancels within the applicable window. If the charge fails, the amount may remain outstanding and payment-enabled listings or bookings may be suspended.

This authorization does not prevent a provider from disputing an error through support or exercising rights available under law or card-network rules.

11. Real-World Activities, Safety, and Assumption of Risk

Sports, training, travel, and in-person meetings involve risks including collision, falls, overexertion, illness, property damage, serious injury, disability, and death. Conditions, weather, facilities, equipment, participants, and supervision can be unpredictable. You are responsible for deciding whether you are medically and physically able to participate, using appropriate equipment, following venue rules, stopping when conditions are unsafe, and seeking professional or emergency assistance when needed.

To the fullest extent permitted by law, you voluntarily assume the ordinary and inherent risks of activities discovered, organized, or booked through RunsForAll. RunsForAll is not an emergency service and does not monitor events in real time. Call local emergency services when necessary.

Parents and guardians are responsible for evaluating and supervising a minor's participation. Nothing in these Terms waives rights that cannot lawfully be waived.

12. Courts, Venues, Links, and Third Parties

Court and venue information may come from users, organizers, or third-party directories. A listing does not establish ownership, permission, availability, safety, accessibility, or suitability. Obtain any required permission and verify conditions before attending.

The Services may link to provider websites, Instagram profiles, maps, venues, or other third parties. We do not control and are not responsible for third-party content, availability, products, policies, or conduct. Your use of third-party services is governed by their terms.

13. BrainGainz

BrainGainz is a sports-performance training tool designed to support focus, reaction time, decision-making, processing, and related cognitive skills through workouts, training blocks, performance measurements, and an MPI. It is not medical care, mental-health treatment, diagnosis, a medical device, an emergency service, or a substitute for a physician, psychologist, counselor, or other qualified professional. Scores, wellness check-ins, journal prompts, training programs, and recommendations are informational and do not guarantee athletic, academic, medical, mental-health, recruiting, scholarship, or other outcomes.

BrainGainz results can vary because of device performance, environment, fatigue, interruptions, user input, and other factors. Do not use a score, MPI, or wellness response as the sole basis for medical, safety, eligibility, employment, recruiting, scholarship, playing-time, or disciplinary decisions.

If an athlete connects to a coach or team, authorized coaches or team administrators may view the identity, sport or position information, assigned-program status, workout completion, and performance information described in the App and Privacy Policy. Coaches and team administrators must use athlete information only for authorized training purposes and must not publicly disclose, sell, or misuse it. Journal entries and wellness notes remain private unless the athlete separately chooses to share them.

Linking BrainGainz to RunsForAll is optional. By approving a link, you authorize the Services to match the accounts and make your BrainGainz MPI, rating tier, and link status available on RunsForAll as described at the time of linking and in the Privacy Policy. You may disconnect the link using available account settings, although previously generated security, consent, or audit records may be retained as permitted by the Privacy Policy.

14. Intellectual Property

The Services, excluding user content, including software, designs, text, graphics, logos, and trademarks, are owned by or licensed to Onubogu Sports and protected by law. Subject to these Terms, we grant you a limited, personal, revocable, nonexclusive, nontransferable license to use the Services for their intended purpose. No other rights are granted.

15. Suspension, Termination, and Account Deletion

We may investigate, limit, suspend, or terminate access for violations, fraud, safety risk, payment issues, legal requirements, or conduct that harms the Services or users. Where practical, we may provide notice or an opportunity to appeal through support.

You may initiate account deletion in Settings → Delete Account. Deletion is handled as described in the Privacy Policy. Account deletion does not cancel an Apple subscription and does not eliminate valid payment, refund, tax, dispute, safety, or enforcement obligations.

16. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ONUBOGU SPORTS DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT LISTINGS, USERS, PROVIDERS, VENUES, PAYMENTS, RESULTS, OR THE SERVICES WILL BE ACCURATE, SAFE, AVAILABLE, ERROR-FREE, OR SUITABLE FOR YOU.

Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ONUBOGU SPORTS AND ITS MEMBERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, DATA, GOODWILL, OR OPPORTUNITY; OR THE CONDUCT OF USERS, PROVIDERS, VENUES, OR OTHER THIRD PARTIES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR A CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO ONUBOGU SPORTS DURING THE 12 MONTHS BEFORE THE CLAIM OR (B) $100. This limitation does not apply where prohibited or to liability that cannot lawfully be limited.

18. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Onubogu Sports and its members, employees, and contractors from third-party claims, losses, and reasonable costs arising from your content, your offered services or events, your violation of these Terms or law, or your infringement of another person's rights. This section does not require indemnification for Onubogu Sports' own unlawful conduct.

19. Changes to the Services or Terms

We may modify the Services and these Terms. We will update the “Last Updated” date and provide additional notice of material changes when required. Changes apply prospectively. If you do not agree to revised Terms, stop using the Services and cancel any subscription through the applicable app-store settings.

20. Governing Law and Disputes

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles, except where the law of your residence requires otherwise. You and Onubogu Sports agree to the exclusive jurisdiction of state and federal courts located in New Jersey for disputes not required to be heard elsewhere by law. Before filing a claim, please contact support@onubogusports.com so we can attempt to resolve it informally.

21. Apple App Store Terms

If you obtained an App through Apple:

  • these Terms are between you and Onubogu Sports, not Apple, and Onubogu Sports is responsible for the App and its content;

  • your license is limited to use on Apple-branded products you own or control as permitted by Apple's Usage Rules, including use through Family Sharing or volume purchasing where applicable;

  • Apple has no obligation to provide maintenance or support;

  • if the App fails to conform to an applicable warranty, you may notify Apple and Apple may refund the App purchase price, if any; to the maximum extent permitted by law, Apple has no other warranty obligation;

  • Onubogu Sports, not Apple, is responsible for claims involving the App, including product-liability, legal-compliance, consumer-protection, or intellectual-property claims;

  • you represent that you are not located in a country subject to a U.S. government embargo or designated as supporting terrorism and are not on a U.S. restricted-party list;

  • you must comply with applicable third-party agreements; and

  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

22. General Terms

If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, financing, reorganization, or transfer of the Services. These Terms, the Privacy Policy, and transaction-specific disclosures are the entire agreement concerning the Services.
